PB Fintech to Acquire Remaining 20% Stake in MyLoancare, Invests Rs 10 Crore in PB Wheels

Policybazaar and Paisabazaar parent PB Fintech has received in-principle approval from its M&A and Investment Committee to acquire the remaining 20% equity stake in its subsidiary MyLoancare Ventures for an estimated cash consideration of up to Rs 5 crore, a move that would make MyLoancare a wholly owned subsidiary of the company.

Here's the backstory. PB Fintech isn't new to MyLoancare, the company first acquired a controlling stake back in 2022, when its holding rose to 70.10%. Incorporated in 2013, MyLoancare is an RBI-registered non-banking financial company operating in digital lending technology, retail loan aggregation and financial product distribution. The final purchase price will be determined by an independent registered valuer based on MyLoancare's fair market value as of the September 30, 2026 cut-off date, with the deal expected to complete by March 31, 2027.

There's a reality check worth noting here. MyLoancare's revenue has actually declined sharply, falling to just Rs 82 lakh in FY26 from Rs 8.7 crore in FY24, a drop of roughly 90.6%. That context matters, this looks less like a growth bet and more like a consolidation move, simplifying PB Fintech's ownership structure and removing minority-shareholder complexity from an existing asset.

The same board meeting also cleared capital for two other units. PB Fintech authorised an investment of up to Rs 10 crore in PB Wheels, its automotive and vehicle-finance business, to support working capital and day-to-day operations, plus up to Rs 1 crore for PB Financial Account Aggregator to help it meet RBI-mandated net-worth and capital adequacy requirements. Together, the three approvals total up to Rs 16 crore in committed capital.

The timing lines up with strong underlying business performance. This news comes right after PB Fintech posted a 92% YoY jump in profit to Rs 163 crore and a 40% rise in revenue to Rs 1,888 crore for Q1 FY27, suggesting the company is using its core profitability to tidy up and strengthen its broader subsidiary ecosystem rather than chase a new external acquisition.

From a declining NBFC to full ownership, PB Fintech's MyLoancare move is less about expansion and more about tightening control across its financial services stack.
