It's Official: Paramount Just Won the Media Merger Fight of the Year — Warner Bros. Discovery Is Now Part of Skydance

After a bidding war that played out in public for weeks, Paramount Skydance has closed its acquisition of Warner Bros. Discovery — beating out a rival Netflix offer to create one of the largest media and entertainment companies in the world.

imageHere's how the deal actually came together:

→ Paramount paid $31.00 per share in all cash, valuing WBD at an enterprise value of $110 billion — a 7.5x multiple on fully synergized 2026 EBITDA
→ WBD had already agreed to merge with Netflix, but its board determined Paramount's revised offer was a "Superior Proposal" under that existing agreement — triggering a termination fee to Netflix and clearing the path for Paramount to step in
→ David Ellison, Chairman and CEO of Paramount, led the pursuit, backed by a fully committed investment from the Ellison family and RedBird Capital Partners
→ The combined company brings together CBS, Paramount Pictures, Nickelodeon, MTV, BET, Comedy Central, Showtime, and Skydance's film/TV/animation/games divisions with Warner Bros.' own studio, streaming, and linear portfolio
→ WBD shareholders voted to approve the deal, and the transaction has now closed, pending the final regulatory steps already cleared

The strategic logic Paramount is leaning on: going head-to-head against Netflix and Disney in streaming requires massive content libraries and the capital to keep producing at scale — something neither Paramount nor WBD could fully do alone. Combining two historic studio libraries and two streaming platforms is a bet that scale is now a survival requirement in entertainment, not just a growth strategy.

What's less clear is what happens next for employees, overlapping streaming platforms, and the shows and films caught in the integration — consolidations at this scale almost always mean restructuring on the other side of the announcement.

Hollywood's media landscape just got one studio smaller — and one giant bigger.
