FirstCry-Backed Swara Baby Products Gets SEBI's Nod for a Rs 1,000 Crore IPO

Swara Baby Products, a contract manufacturer of baby diapers, adult diapers and feminine hygiene products backed by FirstCry's parent Brainbees Solutions, has received SEBI's approval to proceed with its proposed Rs 1,000 crore IPO, an update with the regulator confirmed on October 6, 2026.

imageHere's how the issue is structured. The IPO splits evenly, Rs 500 crore as a fresh issue and Rs 500 crore as an offer for sale, with Brainbees Solutions selling shares worth Rs 300 crore and Anadya Bon Merchari LLP contributing another Rs 200 crore to the OFS portion. There's also room for a pre-IPO placement of up to Rs 100 crore. JM Financial and Avendus Capital are running the book for the issue.

Here's what the money is actually for. The bulk of the fresh issue, roughly Rs 198.2 crore, goes toward building a new manufacturing facility in Madhya Pradesh, while Rs 100 crore will repay certain borrowings and another Rs 27.5 crore clears debt across subsidiaries Solis Hygiene, Swara Hygiene and KAEHPL.

The business itself has real scale behind it. Founded in 2018, Swara Baby has grown fast, posting revenue of Rs 1,163.9 crore in FY26, powered by a client roster that includes Piramal Pharma and Himalaya Wellness, alongside its own in-house brands Cuddles and Shield. By spinning off its manufacturing subsidiary into a separate public listing, FirstCry isn't just raising fresh capital, it's also cleanly separating manufacturing risk and reward from its core e-commerce retail business.

The reality check worth flagging: SEBI's nod is not a launch date, the final issue size, price band, and listing timeline are still to be decided through book-building in the months ahead. Even so, at roughly Rs 1,000 crore, this already ranks as the 10th largest among the 22 IPO filings this year, another clear signal that India's primary market remains wide open for well-run B2B manufacturing stories, not just consumer-facing startups.

From diapers to the Dalal Street, Swara Baby's IPO plan shows just how much value can sit quietly behind a consumer brand's manufacturing backbone.
